1. Parties to This Agreement

This End User License Agreement is a legal agreement between you ("User," "you," or "your") and App Creations LLC ("Licensor," "we," "us," or "our"), the developer and operator of Sophun and the Sophun Network, accessible at sophun.network.

This Agreement governs your use of the Sophun mobile application and all related services, features, content, and updates (collectively, the "App" or "Service").

2. License Grant

Subject to your compliance with this Agreement, App Creations LLC grants you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install one copy of the App on a compatible mobile device that you own or control
• Access and use the App solely for your personal, non-commercial purposes
• Use features available to your subscription tier as disclosed at the time of purchase

This license does not constitute a sale of the App or any portion of it. App Creations LLC retains all rights, title, and interest in and to the App not expressly granted herein.

3. Eligibility & Account Requirements

To use the Sophun App, you must:

• Be at least 12 years of age
• Create and maintain an account with accurate and current information
• Be responsible for maintaining the confidentiality of your account credentials
• Notify App Creations LLC immediately of any unauthorized use of your account

By using the App, you represent and warrant that you meet all eligibility requirements. App Creations LLC reserves the right to suspend or terminate accounts that do not comply with these requirements.

4. Subscriptions & In-App Purchases

Sophun offers subscription-based access through Apple In-App Purchases. By subscribing, you agree to the following:

• Subscription terms, features, and pricing are disclosed at the time of purchase within the App
• All payments are processed through Apple and are subject to Apple's payment terms
• All payments are non-refundable unless otherwise required by applicable law
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
• You may manage or cancel your subscription through your Apple App Store account settings
• App Creations LLC reserves the right to modify subscription pricing upon reasonable notice

5. Restrictions on Use

You agree that you will NOT, under any circumstances:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
• Copy, modify, adapt, translate, or create derivative works based on the App or its content
• Rent, lease, lend, sell, sublicense, or otherwise transfer the App or your rights to any third party
• Remove, alter, or obscure any proprietary notices, labels, or marks on the App
• Use the App to harass, mislead, impersonate, threaten, or harm any person
• Use automated scripts, bots, scrapers, or other tools to access or interact with the App
• Interfere with, disrupt, or overburden the App's servers, networks, or infrastructure
• Use the App for any unlawful, fraudulent, or unauthorized purpose
• Attempt to gain unauthorized access to any part of the App or its related systems
• Violate any applicable local, national, or international laws or regulations

6. Intellectual Property

The App, including all software, design, text, graphics, logos, icons, audio clips, data compilations, and other content, is the exclusive property of App Creations LLC and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You acknowledge that no title to the intellectual property in the App is transferred to you. All rights not explicitly granted herein are reserved by App Creations LLC.

7. User-Generated Content

At this time, Sophun does not permit users to upload, submit, or share content within the App. Should content-creation or upload features be introduced in future versions, this EULA will be updated and additional terms will be presented to you prior to the availability of such features.

8. Privacy & Data

Your privacy is important to us. The collection, use, and handling of your personal information is governed by our Privacy Policy, incorporated into this Agreement by reference. By using the App, you consent to the data practices described in our Privacy Policy.

9. Updates, Modifications & Availability

App Creations LLC reserves the right, at its sole discretion, to:

• Update, modify, enhance, or discontinue any part of the App at any time without prior notice
• Change features, functionality, or subscription offerings
• Modify this EULA at any time; continued use of the App after changes constitutes acceptance

We will make reasonable efforts to notify users of material changes to this Agreement. It is your responsibility to review this EULA periodically.

10. Term & Termination

This Agreement is effective from the date you first access the App and continues until terminated. App Creations LLC may terminate or suspend your license immediately, without prior notice or liability, if you breach any provision of this Agreement. Upon termination:

• Your right to use the App will immediately cease
• You must delete all copies of the App from your devices
• Any provisions that by their nature should survive termination shall survive

You may terminate this Agreement at any time by deleting the App and cancelling any active subscription.

11. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. App Creations LLC does not warrant that the App will meet your requirements or that any errors will be corrected.

12. Limitation of Liability

To the maximum extent permitted by applicable law, App Creations LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the App. In no event shall App Creations LLC's total liability to you exceed the amount you paid for the App in the twelve (12) months preceding the claim.

13. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws applicable to App Creations LLC, without regard to conflict of law provisions. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the applicable courts. You waive any objection to the laying of venue of any such proceedings.

14. Apple App Store Additional Terms

If you downloaded the App from the Apple App Store, the following additional terms apply:

• This Agreement is between you and App Creations LLC only, not with Apple Inc. ("Apple")
• Apple has no obligation to provide maintenance or support services for the App
• Apple is not responsible for any claims related to the App or your use of it
• In the event the App fails to conform to applicable warranties, you may notify Apple for a refund of the purchase price; Apple has no other warranty obligation
• Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce it against you
• Your use of the App must comply with Apple's App Store Terms of Service

15. Severability & Entire Agreement

If any provision of this Agreement is found to be unenforceable or invalid, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

This Agreement, together with the Privacy Policy, Terms & Conditions, and Disclaimer published at sophun.network, constitutes the entire agreement between you and App Creations LLC with respect to the App.
